AMBASSADHER CREATOR TERMS & CONDITIONS

These Creator Terms & Conditions (these "Creator Terms") are a binding agreement between you ("Creator," "you") and 7476, Inc., a Delaware corporation doing business as AmbassadHer ("AmbassadHer," "we," "us"), governing your participation as a Creator on the AmbassadHer platform (the "Platform"). These Creator Terms supplement, and are incorporated into, the AmbassadHer Terms of Service (the "General Terms"). In the event of a conflict between these Creator Terms and the General Terms on a matter specific to Creators, these Creator Terms control.

BY CREATING A CREATOR ACCOUNT, APPLYING TO A CAMPAIGN, OR OTHERWISE PARTICIPATING AS A CREATOR, YOU AGREE TO BE BOUND BY THESE CREATOR TERMS AND EACH CAMPAIGN BRIEF (DEFINED BELOW) YOU ACCEPT. IF YOU DO NOT AGREE, DO NOT REGISTER AS A CREATOR OR APPLY TO ANY CAMPAIGN.

1. Overview of the Platform

AmbassadHer operates a technology platform that connects companies seeking to advertise products or services or conduct market research ("Brands") with individuals who apply to participate in a Brand's campaign ("Campaign") to create content, post to social media, provide product feedback, or complete another deliverable described in that Campaign's terms (the "Campaign Brief"), in exchange for compensation, free product, or both. Your acceptance of and participation in a specific Campaign is referred to as an "Opportunity."

AmbassadHer currently operates two general Campaign formats, and may introduce others:

  • Influencer Campaigns, which involve creating and posting content (video, images, or a mix, as specified in the Campaign Brief) to one or more social media platforms designated by the Brand; and
  • Insights Campaigns, which involve structured product feedback, ratings, or verified-purchase confirmation, and which may or may not require a public social media post.

The specific requirements for a given Opportunity -- including permitted content type (e.g., video only, image only, or your choice), the social media platforms on which you may post, whether a purchase-confirmation step applies, and your compensation -- are set out in the applicable Campaign Brief, which becomes part of your agreement with us and, where applicable, the Brand once you accept it.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to register as a Creator. You agree to provide accurate, current, and complete information when creating your account and profile ("Creator Profile"), including your niches (you may select up to three), location, and any other information requested, and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

To participate in certain Opportunities, you will need to connect and verify one or more social media accounts (each, a "Social Media Provider" account). You authorize us to access basic information from a connected Social Media Provider account (such as your handle, follower count, and public profile information) as necessary to operate the Platform. We are not responsible for the accuracy of information provided by a Social Media Provider or for that provider's own terms, policies, or availability.

3. Applying to and Completing an Opportunity

3.1 Applications

When you apply to a Campaign, you authorize us to share your application responses, Creator Profile information, niches, tags, relevant Social Media Provider information, and any other information reasonably necessary to evaluate your application with the Brand or its agency. A Brand may accept, reject, or leave your application pending at its discretion; AmbassadHer does not guarantee that any application will be accepted.

By applying, you confirm that you have read and agree to the applicable Campaign Brief, including any requirement that you confirm you have reviewed and will comply with the Brand's specific requirements for that Campaign. If you decline to make that confirmation, your application will not be submitted for the Brand's review.

3.2 Platforms

For Influencer Campaigns, the Brand designates in the Campaign Brief which social media platform(s) content may be posted to. By applying, you confirm that you understand you may only post Campaign content to the platform(s) specified. You are not required to select platforms yourself; the Brand's selection controls.

3.3 Purchase Confirmation

Certain Campaigns -- particularly Insights Campaigns, and any Influencer Campaign for which the Brand has enabled this requirement -- require you to purchase the applicable product and confirm that purchase within the timeframe stated in the Campaign Brief (typically five (5) days from acceptance). Failure to timely confirm a required purchase may result in forfeiture of your spot in the Opportunity and, where applicable, any associated compensation.

3.4 Draft and Final Submissions

Where a Campaign Brief requires content review, you agree to submit a draft of your content for approval before posting publicly, and you agree not to post publicly until you receive approval, unless the Campaign Brief states otherwise. For Influencer Campaigns, your final submission must include both (a) the required content file(s) in the format specified (video, image, or either, as designated by the Campaign Brief) and (b) a working link to the live post once published. Brands and AmbassadHer reserve the right to request reasonable revisions consistent with the Campaign Brief before final approval.

3.5 Timelines

You agree to complete each step of an Opportunity you accept -- including any draft submission, purchase confirmation, and final post -- within the timelines stated in the Campaign Brief or otherwise communicated to you. We may remove you from an Opportunity, and you may forfeit compensation for that Opportunity, if you fail to meet a stated deadline without a reasonable accommodation agreed to in advance.

4. Your Code of Conduct

In connection with each Opportunity, you agree that you will: (a) comply with all terms of the applicable Campaign Brief, including any required hashtags, tags, or disclosures ("Required Tags"); (b) clearly and conspicuously disclose your material connection to the Brand in every post or communication about the Brand or its products, in a manner that complies with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, 16 C.F.R. Part 255, and any Campaign-specific disclosure instructions (for example, "#ad," "#sponsored," or "gifted by [Brand]"); (c) express your own honest views, opinions, and experiences with the product or service, and not make claims about the Brand or its products that are not supported by your actual experience or that exceed any written claims guidance the Brand provides; (d) post Content only to the platform(s) and account(s) specified in the Campaign Brief, and not edit or delete Content after posting except as instructed; (e) not make disparaging statements about the Brand's competitors in connection with the Opportunity; (f) not impersonate any person or entity, and represent only your genuine identity in connection with the Opportunity; (g) respect the intellectual property rights of others, including not using third-party logos, music, or identifiable individuals in your Content without the necessary rights or releases; (h) not include Content that is unlawful, obscene, pornographic, excessively violent, discriminatory, or that promotes illegal activity, excessive alcohol use, illegal drugs, firearms, or a political agenda inconsistent with the Campaign Brief; and (i) promptly remove or correct Content upon request from AmbassadHer or the Brand if it does not comply with this Section or the Campaign Brief, including within any timeframe specified in the request.

We reserve the right, for any reason, to remove Content from the Platform or to request its removal from your Social Media Provider account. Repeated or serious violations of this Section may result in removal from current or future Opportunities and termination of your account under Section 12.

5. Compliance with Law

You are responsible for ensuring that your participation in each Opportunity, and all Content you create in connection with it, complies with applicable law, including advertising and endorsement laws, and with the terms of service of any Social Media Provider you use. AmbassadHer does not provide legal advice, and Campaign Brief guidance does not substitute for your own compliance judgment.

6. Content License

You retain ownership of the Content you create. By submitting Content through the Platform or in connection with an Opportunity, you grant: (a) to AmbassadHer, a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and use your Content to operate the Platform and, unless you opt out by contacting support@ambassadher.co, in our own marketing (for example, case studies or platform promotion); and (b) to the Brand, subject to the terms of the applicable Campaign Brief, the license described in that Campaign Brief, which may include a license for the Brand to use approved Content in its own marketing, advertising, or other commercial purposes, for the duration and scope stated in the Campaign Brief. Where a Campaign Brief designates Content as brand-owned for storage or display in the Brand's own account, that designation governs the Brand's rights to that Content as stated there.

You represent that you own or have all rights necessary to grant the licenses in this Section, and that your Content does not infringe any third party's rights.

7. Compensation

7.1 Payment

Subject to your compliance with these Creator Terms and the applicable Campaign Brief, you will be compensated in U.S. dollars for Content or deliverables accepted by the Brand and AmbassadHer, in the amount and by the method stated in the Campaign Brief. We will determine the payment method (for example, direct deposit or a third-party payment processor) and you agree to provide any information reasonably necessary to facilitate payment. If we are unable to process payment because of inaccurate or incomplete information you provided, we will notify you and you will have fifteen (15) days to correct it before the Opportunity's compensation may be forfeited.

7.2 Free Product

Where an Opportunity includes free product in lieu of or in addition to cash compensation, you understand that the value of that product may be treated as income to you under applicable tax law. See Section 7.4.

7.3 Your Costs

You are responsible for any costs you incur in connection with an Opportunity beyond the product itself (for example, equipment or props), unless the Campaign Brief states otherwise.

7.4 Taxes and Independent Contractor Status

You acknowledge that you are an independent contractor, not an employee, of AmbassadHer or any Brand. You are solely responsible for reporting and paying all applicable taxes on compensation and the value of any free product you receive, and you are not entitled to employee benefits of any kind from AmbassadHer.

8. Confidentiality

You agree to keep confidential any non-public information you receive in connection with an Opportunity, including unreleased Campaign Briefs, Brand pricing, and Brand contact information, and not to use it for any purpose other than fulfilling the Opportunity.

9. Non-Circumvention

You agree to communicate with Brands exclusively through the Platform in connection with an Opportunity, and, for the duration of your use of the Platform and for one (1) year afterward, not to solicit or transact directly with a Brand you were introduced to through the Platform in a manner intended to avoid AmbassadHer's involvement or fees, except with our prior written consent.

10. Representations and Warranties

You represent and warrant that: (a) you have full authority to enter into these Creator Terms and each Opportunity you accept; (b) all information you provide is accurate; (c) you own or are authorized to use all Content you submit and it does not violate any third party's rights or any Social Media Provider's terms; and (d) your participation will comply with all applicable laws.

11. Disclaimers, Limitation of Liability, and Indemnification

Sections 9, 10, and 11 of the General Terms (Disclaimers, Limitation of Liability, and Indemnification) apply to your use of the Platform as a Creator. In addition, you agree to indemnify AmbassadHer for claims arising from your breach of these Creator Terms or a Campaign Brief, consistent with Section 11 of the General Terms.

12. Term and Termination

You may stop participating in Opportunities or close your account at any time. We may suspend or terminate your account or remove you from a pending or active Opportunity if: (a) you no longer meet the eligibility criteria for that Opportunity; (b) you materially breach these Creator Terms or a Campaign Brief; (c) a Brand requests your removal for good cause; or (d) we believe in good faith that action is necessary to protect the Platform, a Brand, or other Creators. Where reasonably practicable, we will provide notice and an opportunity to cure before permanent termination.

13. Relationship of the Parties

You and AmbassadHer are independent contractors. Nothing in these Creator Terms creates an employment, partnership, joint venture, or agency relationship. You have no authority to bind AmbassadHer or any Brand.

14. General Provisions

These Creator Terms incorporate by reference, and are subject to, Sections 16 (Dispute Resolution and Arbitration), 17 (Governing Law), and 18 (General Provisions) of the General Terms, including the binding arbitration and class-action-waiver provisions described there.
