AMBASSADHER TERMS OF SERVICE

1. Introduction and Acceptance
These Terms of Service (these "Terms") constitute a binding legal agreement between you and 7476, Inc., a Delaware corporation doing business as AmbassadHer ("AmbassadHer," "Company," "we," "us," or "our"), governing your access to and use of the website located at ambassadher.co, our mobile and web applications, and all related services, features, content, and functionality (collectively, the "Platform").
The Platform connects two categories of users: (a) companies and their agencies who wish to advertise products or services, run market research, or commission content through the Platform ("Brands"), and (b) individuals who participate in Brand campaigns to create and post content, provide product feedback, or otherwise fulfill campaign requirements in exchange for compensation ("Creators"). If you register as a Creator, your participation is additionally governed by theAmbassadHer Creator Terms & Conditions (the "Creator Terms"), which are incorporated into these Terms by reference and control over these Terms to the extent of any conflict regarding Creator-specific matters. If you access the Platform without registering an account ("Visitors"), these Terms alone govern your use.
BY CREATING AN ACCOUNT, CLICKING "I AGREE" OR A SIMILAR BUTTON, OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU (A) REPRESENT THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, (B) REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND CAPABLE OF FORMING A BINDING CONTRACT, AND (C) AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY, IN WHICH CASE "YOU" REFERS TO THAT ENTITY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
THESE TERMS CONTAIN A MANDATORY, BINDING ARBITRATION PROVISION AND CLASS ACTION AND JURY TRIAL WAIVER IN SECTION 16. THIS AFFECTS HOW DISPUTES BETWEEN YOU AND AMBASSADHER ARE RESOLVED. PLEASE READ IT CAREFULLY.
The Platform is not directed to, and no part of the Services may be used by, anyone under the age of 18. See Section 3.
2. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Platform with a new "Last Updated" date and, where required by law or where changes materially affect your rights, by additional means such as email. Changes take effect on the date stated in the notice, or, for changes to the arbitration provisions in Section 16, no earlier than thirty (30) days after notice. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to a change, your sole remedy is to stop using the Platform and, where applicable, close your account before the change takes effect.
3. Eligibility
You must be at least 18 years old to create an account or use the Platform in any capacity, whether as a Brand representative or a Creator. We do not knowingly permit anyone under 18 to register, and we may terminate any account we learn is held by a person under 18. If you are a parent or guardian and believe a minor has registered or provided us information, contact us at support@ambassadher.co.
You further represent that: (a) you are not barred from using the Platform under the laws of the United States or any other applicable jurisdiction; (b) you are not located in, or a national or resident of, any country subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country; and (c) you are not listed on any U.S. government list of prohibited or restricted parties.
4. Accounts
To use most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@ambassadher.co of any unauthorized access or use. We are not liable for any loss arising from your failure to safeguard your credentials, though we will not unreasonably withhold assistance in securing a compromised account.
We may suspend or terminate your account, at our discretion, for violation of these Terms, suspected fraud, or as otherwise described in Section 15.
5. The Platform and Brand Campaigns
5.1 How Campaigns Work
Brands use the Platform to create campaigns describing the products, services, content requirements, compensation, and other terms for a given opportunity (each, a "Campaign," and its governing terms, a "Campaign Brief"). AmbassadHer may operate multiple Campaign formats, including, without limitation, campaigns oriented around social media content creation and posting ("Influencer Campaigns") and campaigns oriented around structured product feedback, market research, or verified purchase confirmation without a public posting requirement ("Insights Campaigns"). The specific requirements, deliverables, content-type parameters (e.g., video only, image only, or Creator's choice), permitted platforms, and compensation for a given Campaign are set out in that Campaign's Campaign Brief, which is incorporated into and forms part of the agreement between the Brand, the participating Creator(s), and AmbassadHer for that Campaign.
5.2 AmbassadHer's Role
AmbassadHer operates the technology that enables Brands and Creators to find one another, define Campaign terms, exchange Campaign content and deliverables, and process compensation. AmbassadHer is not a party to the underlying commercial relationship between a Brand and a Creator with respect to the substance of any Campaign, except to the extent AmbassadHer facilitates or processes payment as described in Section 8 and the Creator Terms. AmbassadHer does not guarantee the availability, quality, accuracy, or outcome of any Campaign, and does not control, and disclaims responsibility for, the content of any Campaign Brief, the products or services offered by a Brand, or a Brand's compliance with applicable law.
5.3 Brand Obligations
If you register or act on behalf of a Brand, you additionally agree that: (a) all information you submit about your company, products, and Campaigns is accurate and not misleading, and that you have all rights necessary to run the Campaign as described; (b) you will comply with all applicable advertising, consumer protection, and endorsement-disclosure laws, including the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, 16 C.F.R. Part 255, and will not instruct or permit Creators to make claims about your products or services that are false, misleading, or unsubstantiated; (c) you will timely review and respond to Creator submissions and applications, and will not unreasonably withhold approval of Content that materially complies with the applicable Campaign Brief; (d) you are solely responsible for the accuracy of product claims, safety of any product provided to Creators, and compliance of your Campaign with laws applicable to your industry (including, without limitation, any additional regulatory regime applicable to regulated categories such as health, supplements, alcohol, or financial products); and (e) you will pay all amounts owed under a Campaign Brief and any applicable Platform or service fees in accordance with Section 8.
5.4 No Employment or Agency Relationship
Nothing in these Terms, a Campaign Brief, or your use of the Platform creates an employment, partnership, joint venture, or agency relationship between AmbassadHer and any Brand or Creator, or between a Brand and a Creator. Creators who participate in Campaigns do so as independent contractors, as further described in the Creator Terms.
6. Content and Intellectual Property
6.1 AmbassadHer's Intellectual Property
The Platform, including its software, design, text, graphics, logos, and other content we own or license (excluding Content, as defined below, submitted by Brands and Creators), is owned by AmbassadHer or our licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the Platform, except as expressly permitted.
6.2 Brand and Creator Content
"Content" means any Campaign materials, product information, creative briefs, photographs, videos, text, or other materials submitted, uploaded, or posted by a Brand or a Creator through the Platform. Brands and Creators each retain ownership of the Content they submit, subject to the licenses described in this Section and, for Creators, in the Creator Terms.
By submitting Content, you grant AmbassadHer a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and transmit that Content as necessary to operate, provide, and promote the Platform (including in marketing materials, case studies, and social media posts referencing the Platform generally). Brands and Creators are separately responsible for the rights and licenses that flow between them with respect to Campaign Content, as set out in the applicable Campaign Brief and, for Creators, Section 6 of the Creator Terms.
6.3 Feedback
If you send us ideas, suggestions, or feedback about the Platform, you agree we may use them without restriction or compensation to you.
7. Prohibited Conduct
You agree not to, and not to permit any third party using your account to: (a) violate any applicable law or the intellectual property, privacy, or other rights of any third party; (b) upload or transmit any content that is unlawful, defamatory, obscene, harassing, hateful, or discriminatory; (c) impersonate any person or entity or misrepresent your affiliation with any person or entity; (d) interfere with or disrupt the Platform, including through viruses, malware, or excessive automated requests; (e) scrape, harvest, or collect information about other users without their consent; (f) attempt to gain unauthorized access to any portion of the Platform or its related systems; or (g) use the Platform to circumvent AmbassadHer and contract directly with a Brand or Creator you were introduced to through the Platform in a manner that violates Section 12 or the Creator Terms' non-circumvention provisions, as applicable.
We may investigate and take appropriate action against anyone who violates this Section, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.
8. Fees and Payment
8.1 Brand Fees
Brands agree to pay all fees associated with a Campaign as set out in the applicable Campaign Brief, invoice, or order form, including any AmbassadHer service or platform fee disclosed at the time of Campaign creation or funding. Except as otherwise stated in a Campaign Brief or as required by law, all fees are non-refundable once a Campaign has commenced or funds have been disbursed to a Creator.
8.2 Creator Compensation
Compensation payable to Creators is described in the Creator Terms and the applicable Campaign Brief. AmbassadHer facilitates, but is not the guarantor of, payments between Brands and Creators except to the extent expressly stated in a Campaign Brief.
8.3 Taxes
Each party is responsible for its own tax obligations arising from amounts paid or received through the Platform. AmbassadHer does not provide tax advice.
9. Disclaimers
THE PLATFORM AND ALL CONTENT, CAMPAIGNS, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY BRAND, CREATOR, OR CAMPAIGN WILL MEET YOUR EXPECTATIONS. WE DO NOT ENDORSE AND ARE NOT RESPONSIBLE FOR THE ACCURACY, QUALITY, OR SAFETY OF ANY PRODUCT, SERVICE, OR CONTENT OFFERED, REVIEWED, OR PROMOTED THROUGH A CAMPAIGN.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMBASSADHER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), OR (B) THE TOTAL FEES YOU PAID TO, OR (IN THE CASE OF A CREATOR) RECEIVED FROM, AMBASSADHER IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless AmbassadHer and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or, if applicable, a Campaign Brief; (b) your Content; (c) your violation of any law or third-party right; or (d) your use of the Platform. We reserve the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
12. Non-Circumvention
While using the Platform, and for a period of one (1) year after your account is closed, you agree not to use information obtained through the Platform to contact a Brand or Creator you were introduced to through a Campaign for the purpose of transacting outside the Platform in a manner that avoids AmbassadHer's fees or oversight. This Section does not restrict organic relationships that predate use of the Platform or that arise entirely independent of it.
13. Third-Party Services and Links
The Platform may link to, or integrate with, third-party websites, social media platforms, and services (each, a "Social Media Provider" where applicable) that are not owned or controlled by AmbassadHer. We are not responsible for the content, policies, or practices of any third-party service. Your use of any Social Media Provider is governed by that provider's own terms and privacy policy.
14. Confidentiality
Brands and Creators may receive information through the Platform that AmbassadHer or the other party designates, or that a reasonable person would understand, to be confidential (for example, unreleased Campaign Briefs, pricing, or contact information for the other party). Each party agrees to use such confidential information solely to perform its obligations under a Campaign Brief and not to disclose it to third parties, except as required by law.
15. Term and Termination
These Terms remain in effect while you maintain an account or otherwise use the Platform. You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account or access to the Platform, with or without notice, if we believe in good faith that you have violated these Terms, that your continued access poses a risk to AmbassadHer, another user, or a third party, or as otherwise necessary to comply with law. Sections of these Terms that by their nature should survive termination (including Sections 6, 9-11, 14, and 16-18) will survive.
16. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
16.1 Agreement to Arbitrate
Except for disputes that qualify for small claims court or in which either party seeks injunctive or other equitable relief for alleged unlawful use of intellectual property, you and AmbassadHer agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (a "Dispute") will be resolved by binding, individual arbitration under the Federal Arbitration Act, rather than in court, except that either party may bring an individual action in small claims court.
16.2 No Class Actions
YOU AND AMBASSADHER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
16.3 Process
The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, for consumer disputes, its Consumer Arbitration Rules) then in effect, before a single arbitrator, and will take place in San Luis Obispo, CA or another mutually agreed location, or, at the electing party's option, by videoconference or based on written submissions. Before initiating arbitration, the parties agree to first attempt to resolve the Dispute informally by sending written notice to the other party describing the Dispute and the relief sought; notice to AmbassadHer should be sent to 7476, Inc. DBA AmbassadHer, 784 Main St, Ste B, Cambria, CA 93428. If the Dispute is not resolved within thirty (30) days, either party may initiate arbitration.
16.4 Opt-Out
You may opt out of this arbitration provision by sending written notice to 7476, Inc. DBA AmbassadHer, 784 Main St, Ste B, Cambria, CA 93428 within thirty (30) days of first accepting these Terms, stating your name and a clear statement that you wish to opt out of arbitration.
16.5 Severability
If any part of this Section 16 is found unenforceable, the remainder will remain in effect, except that if the class-action waiver in Section 16.2 is found unenforceable as to a particular Dispute, that Dispute must be resolved in court rather than through arbitration.
17. Governing Law
These Terms are governed by the laws of the State of CA, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 16. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in San Luis Obispo, CA.
18. General Provisions
Entire Agreement. These Terms, together with the Creator Terms (as applicable), the Privacy Policy, and any Campaign Brief, constitute the entire agreement between you and AmbassadHer regarding the Platform and supersede any prior agreements on this subject.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Force Majeure. Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.
